<summary>the offer is all cash at 190p. I have received the documents through the post but haven't read them yet. Usually there is an EGM at which shareholders are called on to vote for or against the proposals. 75% is needed to approve the offer....</summary>

<summary>Thanks for the responses. I am not unhappy with the outcome despite what I say - I simply have a feeling the company is worth more to Sanofi than it has agreed to pay. In reality it was in a strong position to drive a hard bargain because the vaccines closest to market are already pledged to it and it won't have had much competion from the Acambis weaklings batting for shareholders....</summary>

<summary>The more I think about this deal, the more it puzzles me. For a start, I see that Goldman Sachs, one of the holders irrevocably undertaking to sell to Sanofi, actually is the registered owner of 16% of the shares, yet it has advised the directors in connection with the bid. How can they meet the necessary independence rules? I know all about chinese walls, but it is difficult to see how the fact that GS owns these shares would not in some way affect its thinking. For all we know, GS may be holding the shares as nominee for Sanofi....</summary>
