Issue of Equity

The Directors of Downing Planned Exit VCT 3 plc are pleased to announce an allotment on 18 March 2010 of 2,575,955 D shares of 0.1p each ("D Shares") payable at 99.9p per share and 2,575,955 E shares of 0.1p each ("E Shares") payable at 0.1p per share pursuant to the Offers for Subscription that opened on 6 November 2009.

Application for the D Shares and E Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities will be made at the earliest practical opportunity.

The Directors announce that the Offers are now closed and no further applications will be accepted. Allotments in respect of unprocessed applications will take place in due course.

1 March 2010 In conformity with the Transparency Directive's transitional provision 6, Downing Planned Exit VCT 3 plc announces the following: The Company's capital at 28 February 2010 consists of 10,064,617 Ordinary shares of 1p each, 7,173,376 C shares of 0.1p each, 5,086,637 D shares of 0.1p each, 10,760,064 A shares 0.1p each (which are non-voting) and 10,086,637 E Shares of 0.1p each (which are non-voting). The Company does not hold any shares in treasury.

Therefore the total number of voting rights in Downing Planned Exit VCT 3 plc is 22,324,630.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Downing Planned Exit VCT 3 plc under the FSA's Disclosure and Transparency Rules.

Application for the D Shares and E Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities will be made at the earliest practical opportunity.

The Offers for Subscription are expected to remain open until 5 April 2010 in respect of the 2009/2010 tax year and 30 April 2010 in respect of the 2010/2011 tax year unless previously extended or fully subscribed earlier.
