Hardy Underwriting Group All Employee Share Incentive Plan

Hardy Underwriting Bermuda Limited announces that it was advised on the 11th January 2012 that the Trustees of the Hardy Underwriting Share Incentive Plan (the "Plan"), purchased the following Hardy Underwriting Bermuda Limited Common shares of 20p each:

On 6^th January 2012 - 48,213 Hardy Underwriting Bermuda Limited Common Shares of 20p each at £2.05 per share in respect of the Free share allocation under the terms of the Plan.

On 10^th January 2012 - 15,384 Hardy Underwriting Bermuda Limited Common Shares of 20p each at £1.94 per share in respect of the December allocation under the terms of the Plan.  Of these shares 5,128 were acquired as Partnership Shares (paid for by participating employees), and 10,256 shares were bought by the Company as Matching Shares. 

The registered holder of all shares is Lloyds TSB Corporate Nominees Limited designation AESOP 1.  

The following directors and Persons Discharging Managerial Responsibility (PDMR's) are beneficial owners of the following shares (subject to the terms and conditions of the Plan Trust Deed and Rules):

On 8 December 2011 - 15,195 Hardy Underwriting Bermuda Limited Common Shares of 20p each at £1.91 per share in respect of the November allocation under the terms of the Plan.  Of these shares 5,065 were acquired as Partnership Shares (paid for by participating employees), and 10,130

shares were bought by the Company as Matching Shares.
