27 January 2012 Nexus Management Plc (AIM:NXS) ("Nexus" or"the Group" or "the Company") Further re Strategic review Further to the announcements made on 1 November and 9 December 2011, Nexus Management Plc, the AIM quoted provider of specialist IT Managed Services, announces that, as part of the strategic review process, the Board is considering a range of alternatives to maximise value for shareholders, including a possible sale of Resilience Technology Corp ("Resilience"). To assist in the potential sale of Resilience the Company has appointed advisers, to assist it in identifying potential third party buyers. The Board has also granted permission to the management team of Resilience to explore a management buyout of this business. The above process is still at a very preliminary stage and a further announcement will be made in due course. 09 December 2011 Nexus Management Plc (AIM:NXS) ("Nexus" or"the Group" or "the Company") Trading update,Directorate Changes and Contract Review. Trading Update Nexus Management Plc, the AIM quoted provider of specialist IT Managed Services, is pleased to announce its unaudited pre-close trading update in advance of its final results for the year ended 30 September 2011 which are expected to be released in early 2012. The figures below are unaudited and remain subject to audit adjustments. Highlights: * Revenue increased from £5.85 million to £5.9 million; * Operating profit increased by over £500,000 to £396,000 compared to a loss of £136,000 in the previous year. (Operating profit is calculated before impairment, amortisation, share based payments and exchange rate movements) * Cash at bank and in hand increased by £28,000 in the year to £409,000. * Operating costs substantially reduced. During the year ended 30 September 2011 the Company rationalised its overhead base, which provided a much leaner operation upon which to build. The main drivers in this area were to streamline common functions across the Group, increasing margins derived from projects, a continued focus on cost control and cash maximisation processes. The Company also announces that one of its largest clients has an annual contract review in early 2012. The Company is actively engaged in this review process particularly as that there have been some key organisational changes within this client during the last 12 months. Commenting on the trading update, CEO of Nexus, Roger Richardson, said: "We have worked hard towards our goal of achieving profitability at all of our subsidiaries. As stated above, this continued objective is reliant upon a positive conclusion to the negotiations with the above mentioned client. Our focus remains to increase revenues across the Group while reducing unnecessary operating costs. We have achieved this during a period of austerity which is a great credit to the Nexus management team." Directorate Changes The Company also announces that Roger Richardson, Executive Chairman, has decided to resign as a director of the Company with immediate effect to pursue his other business interests. He will remain as a consultant to the Company for a period of 18 months to allow for an orderly handover. M Barney Battles will assume the position of Executive Chairman whilst the Company completes its strategic review. Commenting on the directorate changes, M Barney Battles, said: "I would like to thank Roger for all his work and commitment to the Company over the last eight years. He has overseen a number of changes in the business in this period and leaves the business on a stronger footing." Directorate Changes
Nexus Management plc, the IT Managed Services Provider, announces that Marcus Hanke, Marcus Yeoman and Mark Battles have been appointed as Non-Executive Directors of the Company with immediate effect ("New Directors"). Peter Paterson and Jeremy Lister, Non-Executive Chairman and Non-Executive Director of the Company, respectively, will be resigning with immediate effect.
Pete Paterson has served the Company in both executive and non-executive roles over the past 10 years and in 2003 was the architect and major contributor of the refinancing of the business, a move that both saved and transformed the Company. Pete will dedicate his time to his studies at university, which recently has demanded more of his time.
Jeremy Lister has been a non-executive director for four years and has contributed positively and enthusiastically to the development of the Company. He has readily taken on projects including M&A work assisting the Company greatly. Both supportive and challenging, Jeremy has carried out his responsibilities to shareholders with high commitment and integrity.
Consequently, Roger Richardson, currently Chief Executive Officer, will be assuming the position of Executive Chairman on an interim basis.
The New Directors bring a considerable public company experience and specialise in the area of cost control with a proven ability to seek out earnings enhancing acquisitions to help companies achieve critical mass. The search for suitable acquisitions is already underway.
The Company's results for the year to 30 September 2011 will be published in late November, at which point the Company will give a further update on the strategic review now underway.
