(TAN.L) Tanfield Group PLC Buy/Sell

If Tan raise the money for this reverse takeover or whatever it is, what are the shareholders LIKELY to get.

I'm a little confused and realise that its probably speculation but I heard 40p per share and then another sweetener.

I'm concerned knowing whats said about this company and the managment that we will just end up getting shafted.

I need 65.5p to get my money back (Don't laugh...I know)
I'm wondering what the chances are at the moment

AND

If they dont raise the cash is the sp going to just fall back to nothing.

Any thoughts welcome

The pi's won't be told who owns the 51%, unless of course it has in fact been reported and I have missed it, or has it been reported in the good old US, I don't know. Yes why are the institutions waiting, my guess would be Tan have released the basic information, but have they had "Secret" meeting with the wide boys from the city, or are the wide boys not really interested as yet? Its obvious something was leaked last week before the announcement, price was walked down to low 20's, then walked back up to high 20's, posts appeared on different boards spouting they had heard a whisper, a deal was underway, Tan were involved in some sort of takeover, then hello Wednesday am what did we get, Tan are selling Smiths? Yes the poor old PI always out of the loop, fed titbits while those in the know fill their boots?
As for the tax breaks, the only sensible suggestion I have come across is it could be treated as a capital distribution rather than a special dividend, as you know dividends are taxed at source 10% tax, a capital distribution would be free of tax if under the annual allowance, although without doing some research I am not sure. Then again until we know what the distribution is in money terms we are guessing. I think I will email RS see if he can give me any info!!!!!

Appologies for not following up the 51% question, heres my thoughts...Mine was more a rhetorical, statement.

The other 51% is held by who knows who, thats one thing we know WE don't know, but one thing I suspect is vital to know, and should be told, unless that is PI's are out of the loop here, in more ways than one.


Are we going to have to wait until a registration to make an ipo is made to find out? By which time TAN would have already dispensed with the EV side - if so we'll not be talking on here about the EV side except with a title including the phrase "Off Topic....".

If my understanding is correct there is no need to make a disclosure right up until the point a registration for an IPO is made in the US. UNLESS Tan deams it must be made? perhaps PI shareholders should ask...? My guess is that closer to July, we will be made to wait until the ipo and then have to query EDGAR to find out.

Of course by then there may be blogs adding phrases like Stable, Horse, Bolted and Doors to help keyword searchs for Tan holders to mul over

Oh what it is to be a lowly PI without access to insitutional "insight"..... Also. if this is such a good deal, what are the insts waiting for, answers to the tax efficient question? Or is the tax efficient question to do with domistility...?

Ah, or maybe, just maybe, if you take the strong hint at an IPO "sooner rather than later", yes we'll know who the 51% owners are very soon BEFORE the IPO is approved, and as such I am intruiged by the timings of all this. They'll wait until they get their hands on the crown jewels before revealing their hand is how I see it.

Anyway.... My guess is if we see institutional buyers coming in then they will have been given the nod, if we don't then they know it for what it is.

So who's holding the crown jewels, is it going lead back to the usual supects, With RS wearing a right royal jewel encrusted stetson... no doubt whiter than white.

i too sold out at 39.5 on the day of the announcement.
I had been sitting on a loss for quite some time and was glad to get back into the blue. I try to almost day trade shares and thought this would move more than it did.
i think this is a good long term share as things are going electric and Tanfield are in a good position. As for this deal, not enough info is out and the second part of the usa ipo might not take place till 2015. to long for me. If this drops to mid 20's i will buy again but i would be surprised if it goes as low as 30. We will see.

Another one slips thru SEV-US hands????

Electrifying the delivery of strawberries, bread, packages and other items, a major state agency has approved zero-emission electric trucks made by a Stockton company.

The California Air Resources Board on Thursday approved Electric Vehicles International's fully electric return-to-base trucks. The term refers to trucks that start out at a warehouse, deliver items and then return to the starting point, which electric trucks need to do so they can plug in and charge up overnight.

"Our vehicles go 60, 80 or 115 miles depending on the battery pack size the customer chooses," said Summer Pennino of EVI. "It's (the designation) for companies that go out, make their deliveries, return, charge up, then go out and do it all over again." Pennino said companies like FedEx, UPS or Safeway were the kind of businesses that might use EVI's trucks.

Now that the trucks have garnered approval from the air resources board, they can take to the road in California, which could make driving behind a truck a lot less unpleasant experience. Though the board has cracked down on diesel trucks, limiting the amount of emissions they can spew into the atmosphere, the trucks still emit fumes. EVI's vehicles do not.

Companies that buy EVI trucks can get rebates of up to $20,000 per vehicle through the air resource board's Clean Vehicle Rebate Program, Pennino said. The program aims to reduce greenhouse gases and limit pollution in California.

Personally, I sold out at 41.75 on the day of the announcement. I am waiting for the sp to reach mid 20's then I shall buy back in. From my perspective that demonstrates a fair level of risk/reward - i.e. watch it drop further.....or double my money if the deal goes through or quadruple my money if the other part of the deal holds. No advice intended. Just my thoughts.

As I have stated time and time again the FSA are a toothless boby who only serve the interests of the city, and are fairly inept at dealing with any such matters or transactions. The deal is on paper a fair deal for existing holders and until more facts and figures are released then it is impossible to question whether it is leegal. It will be a related party transaction as Tanfield has a stake in SEVUS, but Stanley as far as we know does not hold any stakes in SEVUS on Tanfield UK. The buyers are not totally one of the same as private investors hold 51% of SEVUS.
Lets wait and see what the next announcement says, and don't forgetr the AGM is to be held in May so if you still have concerns then, you can always attend the meeting to let your feelings be known.

I think I have made myself unpopular by being cynical about the future of Tanfield and SEV-US. I have to tell you I don’t enjoy posting all that negative stuff. It was just the way I saw it and I felt I had to express my concerns. If I have been wrong, then nothing is gained and nothing is lost, except my credibility. But if I have been right or even partially right then it will have been well worth it. It would give people a chance to discuss things and consider possible courses of action to prevent the planned sell-off of SEV.
As I say I may or may not have been wrong about the directors’ motives. Either way we need to know. And the sooner we know the better. If anyone is up to it there may be certain things individuals could do.
We could write to the FSA expressing concern and questioning the legality of the planned sell-off of Smith Electric Vehicles to SEV-US on the bases that:
The buyers and the sellers are one and the same. To that end it would be a conflict of interest for someone like RS or any of the main shareholders to vote for/against the proposed sell-off if they have interests directly or indirectly (via another company) in SEV-US. The sell-off may be good business and serve the interests of RS and the like, but does not benefit Tanfield Group as a company and the remaining shareholders. The benefits to the likes of RS, from the sell-off is directly a direct result of losses by the remaining small shareholders. Hence RS would benefit at the expense of many investor who happen to hold fewer shares.

Secondly Tanfield Group is said to be received grant from the British government as a British company to develop UK’s EV technology/industry. Will the proposed sell-off to a foreign company have implications on the government’s grant.

I am sure many of you are well informed about legal issues and can compile letters a lot better than I can. I think it is time we took some action. Obviously the more letters are sent to the FSA the better. All we need do is make the FSA aware and interested. If they think there is the slightest case for concern they will investigate. If they don’t then still nothing is lost.

The other option we have is to form a shareholder action group. That is a lot harder because it requires a lot of time and effort by individuals who would have to organise and mobilise support.

I say lets do something! Lets fight!

Manganese Bronze, which assembles the TX4 cab – used widely in London and by several cab companies nationwide – at its factory in Coventry, said it had suffered a 30% collapse in sales since the credit crunch in 2007, provoking a slump in profits. Chief executive John Russell said many cab owners had spent the last two years holding back from upgrading their vehicles.
