Ambrian to sell struggling brokerage to RFC
By Michael Stothard

Ambrian Capital has agreed to sell its struggling brokerage division, Ambrian Partners, to Australian corporate advisory firm RFC Group for an undisclosed sum.
RFC, which specialises in financing for the mining and energy industry, said that the purchase would give it a foothold in the London markets while Ambrian expressed relief at finding a buyer for the division in a tough environment.
Small caps Ambrian boosted by surging profits
Consolidation looms as independent brokers face survival struggle

Last month Ambrian was forced to write down the value of the brokerage business by £2.2m, in a move that sent shares in the wider company down 30 per cent. It blamed “financial turmoil” since March and worried some investors by saying that it was impossible to predict the division’s future performance.
Both companies said that this was another nascent sign that the widely expected consolidation among the medium-sized UK brokers might be starting to happen. It follows news last week that shareholders of Evolution Securities had approved the company’s £202m acquisition by Investec.
The industry has been struggling to turn a profit in recent years due to the low number of flotations and rights issues, and sluggish activity in mergers and acquisitions. But most in the sector have so far resisted merging.
“The industry has been downsizing for years but now there is something Darwinian going on,” said Rob Adamson, the managing director of RFC Group, indicating that larger companies may be starting to snap up some of their less successful rivals.
Ambrian Capital said that it would now focus on its commodity trading business: “In the current market environment, we are pleased to have agreed terms with RFC,” said Robert Ashley, chief executive of Ambrian Capital.
RFC said that it believed resource specialists would be insulated from wider problems in the broking sector as mining and energy companies were still looking to raise funds amid elevated commodity prices. RFC said that it partly blamed Ambrian Partners’ management for its troubles.
Mr Adamson said that RFC had been looking to find a base in the same timezone as Africa, where much of its business is done. “The acquisition of Ambrian Partners provides RFC Group with a London base on which to expand our business,” he said.
He said that RFC would be looking to cut staff at Ambrian but declined to say how many jobs would go. The deal is expected to be completed in the first quarter of 2012.
Shares in Ambrian Capital rose 2.4 per cent to 16p.
