<description><![CDATA[ Well here you get a  blonde with an opinion which you did not pay for and may be not worth paying for!  To begin with, any shareholder of CHTR could have found better investment opportunities than offered by this company since 1997.  If anyone holds CHTR shares, the current share price is an excellent opportunity to exit an company which has destroyed shareholder value since 1997 when its directors lacked strategic vision and good judgement., a reason why they are no longer directors of any plc today.  If Colfax follows thru with its bid, grab it or better still sell now in case the offer does not complete.<br>

Engineering firm Charter International (CHTR) which recently agreed a 910p a share offer from US group Colfax Corporation issued a resolute set of third quarter results.<br>

This September the fully-listed concern agreed to an offer from Maryland-headquartered Colfax in a deal that valued the company at &pound;1.52 billion. In a trading update for the three months to September the group saw turnover rise by 19.9 per cent to &pound;497.7 million. Revenues in its ESAB division- which specialises in cutting and welding climbed from &pound;288.8 million to &pound;340.8 million while sales in Howden- its air and gas handling operation surged from &pound;126.4 million to &pound;156.9 million.<br>

Gareth Williams- the chief executive that only joined the group in July- remarked that the company had at the time of its interims in July 'laid out plans' that included the fact it was 'exploring all strategic options'. Regarding the third quarter update itself he noted that 'cost savings and working capital reductions' at ESAB were 'in line with expectations' while Howden was continuing 'to see strong order intake compared to the same period last year and impressive growth in the aftermarket'.<br>

Analysts at Collins Stewart were forecasting EPS of 75.6p and 91.1p for 2011 and 2012 respectively.<br>
<br>
This June, following a 780p a share offer from fellow listed engineering concern Melrose we advised Charter's shareholders to 'hold on for a higher offer'. Melrose subsequently increased its offer to 840p in July and later to 850p in September. The offer from Colfax representsa 16.6 per cent premium on the earlier offer received from Melrose in June and we think is likely to please Charter's shareholders. We recommend accepting the offer from Colfax.<br>

<description><![CDATA[ I've also sold the second half of my holding today...... don't need to wait around for the deal to conclude, more potential for me now elsewhere and some of it will be less at the mercy of the general markets/economy than an industrial like Charter or Colfax...... Still too long to wait for the cash even if 100% is on offer.<br>

Thanks Ladder, I did actualy frealise that, but did say it was the latest information on the Charter website. as there have been about 10+ news releases on share ownership each day since the first Melrose bid, I did not fancy trawling through them all. I would bne surprised if the holdings had changed dramatically in terms of the potential to block the Colfax bid. <br>

<description><![CDATA[ good decision to take half your profits  LR - I had a sell order in at 885p but we never got there, and now i regret not jumping off sooner. But even with the Colfax price drop this is still seeing CHTR trading at a significant discount to the deemed value of the Colfax offer - and I cannot really see Colfax abandoning the bid in spite of the turmoil, so this should move up higher than currently in the market, and volumes are very very low, which suggests that the institutions are sitting on their hands waiting for the money rather than trading out. There have been a huge number of 'Holdings in Company' RNS messages over the last few weeks and you need to take a good look at them to try to collate some meaningful current holdings information.<br>
<br>
With the Markets sliding again on Friday Colfax closed out the day down 6.76% at US$20.26 which is likely to hit CHTR on Monday.<br>
<br>
I have sold half my holding following MLR backing out and given the current level of market uncertainties...... I've been caught too many times before holding out for the bigger gain and failing to take some profit...... not this time <img src="/sites/all/themes/iii2010/iiicentre/discussions/emoticons/big-grin.gif">.<br>

<title>Colfax Offer</title>
<description><![CDATA[ Just checked the Colfax share price. When they made the offer (12/9) their price was $21.06. Yesterday's close was $21.73, so the price has actually risen slightly. Current exchange rate is 1.56, which would value the offer as 730 cash + (21.73*.1241/1.56) 173 = 903. So the exchange rate has worked against us a bit since the offer.<br>

What I have not seen is the timetable, for the take-over. If the boards have agreed &amp; Charter's BOD is in favour of it, then surely it should be getting put to the shareholders soon. By Hardboy ]]></description>

<description><![CDATA[ From the Chrter Website, these are the shareholders with more than 3% holding. I guess summed up, it's nearly 1/4 of the stocks, but no one is that significant. I'd be surprised if there was a co-ordinated effort to block the bid.<br>
