<description><![CDATA[ So, this new guy now owns 68% of KDDG and 38% of Kernel (another listed farming co).  He found a bargain and bought in (by the way, Troika's TP is about 60p).<br>
<br>
If he makes an offer to minority s/hs (at what price?), the Co would be de-listed, which makes no sense as its shares would be illiquid, less valuable etc.<br>
<br>
I think there are 2 scenarios going forward - <br>
<br>
1- he builds the Co up, by supporting it now that things are tough and makes a bundle within 2-3 years, when the projects are completed and sold OR (the bad scenario)<br>
2- if/when the projects run out of cash (assuming the Co cannot borrow more), he goes for a dilutory (for us) Placing or Rights Issue and increases his stake.  <br>
<br>
I think this is the more unlikely scenario, given the track record of the guy and the fact that KDDG is not his only &quot;baby&quot;, plus he 'd probably want to build his reputation in the City, not ruin it.  <br>

Majority stake in KDD Group sold to Verevskiy<br>
KDD Group announced that the company&#146;s majority owner Alexander Levin has sold a<br>
combined stake of 68.2% to Groumon Development, a company controlled by Andriy<br>
Verevskiy, the founding shareholder and chairman of Kernel Group. Verevskiy will pay<br>
$16 mln (around GBP10 mln) for the stake, implying a price of $0.14 per share, or<br>
approximately 30% below the market price.<br>
KDD Group will soon announce changes in the supervisory board to reflect the<br>
representation of the new owner, though the current management will remain in place.<br>
At the same time, Verevskiy has stated that he will not be involved in day&#2;to&#2;day<br>
management of KDD Group and believes in its long&#2;term potential. The announcement<br>
did not contain information on whether the new owner intends to make a buyback offer<br>
to KDD Group minority shareholders after acquiring a majority stake in the company.<br>
Troika&#146;s view: We see the transaction as a positive development for KDD Group.<br>
Although it is subject to approval by the Anti&#2;Monopoly Committee, we do not believe<br>
it will face any obstacles at this stage. We believe that the advent of the new owner<br>
should give a boost to the pace of construction at KDD Group&#146;s key projects Sky Towers<br>
and PecherSky. For both of these projects the company has outstanding credit lines, but<br>
construction of the large&#2;scale SkyTower project has been rather slow in recent months<br>

<description><![CDATA[ It seems the 77% held by the Management/Owners has been whittled down to 9%, with the rest of their shares going to the new guy, who has plenty of cash.<br>
<br>
To sell out at 9p means that these guys were desperate for cash.<br>
<br>
What does this mean for the Co?  That it will not run out of cash.  Future will tell about any possible dilution when/if cash needs to be raised.<br>
<br>
What about us?  No dilution for now, but maybe soon?<br>
If SP rises by then, due to reduced risk of bankruptcy, maybe possible dilution will not hurt so much.<br>
<br>

AIM-listed developer KDD Group has signed an agreement with engineering company Kyiv Zhytlo-Invest, the general contractor of its flagship Sky Towers office and hotel project in Kiev, for the development of the scheme involving construction costs of roughly $455 mln (EUR 331 mln).<br>
<br>
In total, the project will require an investment of just over $512 mln (EUR 371), $110 mln of which have already been paid.<br>
<br>
Sky Towers is a premium business centre located on a 0.74 hectare freehold site at the edge of the Central Business Distrcit. <br>
<br>
The project is designed to have two towers, ranging from 34 to 47 storeys, with a gross area of 225,000 m2. <br>
<br>
The construction will be completed in four phases, with Phase I involving a 250-room hotel due for completion in May 2012, in time for the Euro 2012 football championships. <br>
<br>
The last phase is planned to be completed in mid-2013. <br>
<br>
Separately, KDD announced that it has signed a loan agreement with the Ukrainian Export-Import Bank for a new $58 mln credit facility for its PecherSky residential project. <br>
<br>
Construction of PecherSky was suspended in late 2008 on the back of the credit crunch.<br>

KDD Group has provided progress updates on it SkyTowers mixed&#2;use complex and<br>
PecherSky residential complex. The group&#146;s subsidiary that manages PecherSky signed<br>
credit agreement on February 9 with state&#2;owned Ukreximbank, which will provide a<br>
credit line of up to UAH467.6 mln ($58.4 mln) maturing in December 2012. The loan<br>
will be used to complete PecherSky, which was frozen on the eve of the financial crisis<br>
after Ukrsotsbank recalled its financing. The company further stated that it has already<br>
restarted construction at the site and expects to commission the project by August 2012.<br>
In addition to this, KDD Group issued an update on its largest flagship project,<br>
SkyTowers. The group, together with general contractor Zhytlo Invest, decided to<br>
change the construction company for the project from Osnova&#2;Solsif to Turkey&#146;s<br>
Ant Yapi. The total costs for the project are now expected to reach $454.8 mln (net of<br>
VAT), and it will be carried out in four phases, the first being part of the hotel tower<br>
with 250 rooms, planned for completion by the 2012 UEFA European Football<br>
Championship (Euro 2012).<br>
Troika&#146;s view: The reported development regarding PecherSky is positive for<br>
KDD Group, in our view, as the provided credit line should be enough to fully complete<br>
the project without the need to engage in discounted pre&#2;sales. At the same time, if an<br>
acute need to finance other projects arises, the developer can start generating cash<br>
flow from pre&#2;sales as early as mid&#2;2011. The reported progress on SkyTowers is<br>
positive for sentiment, and during the recent site visit we saw visibly active construction<br>
works after the building company was changed. Despite the reported progress with<br>
SkyTowers, the considerable increase in the project&#146;s total costs raises concerns. But<br>
breaking the project into phases is a positive step, as the existing credit line from<br>
Ukreximbank should be enough to complete the first stage and put it into use for the<br>
Euro 2012. We will account for the increased cost and phasing of the SkyTowers<br>
project, but for now maintain our BUY recommendation on the stock given the visible<br>

KDD Group (AIM: KDDG), the holding company of one of Ukraine's leading real estate investment and development groups, today announces an update regarding the Group's flagship Sky Towers office and hotel project (&quot;Sky Towers&quot; or the &quot;Project&quot;). <br>

KDD Group's subsidiary and the holding company for the Project, Agency of Office Construction Ltd., has signed an additional agreement with Sky Tower's general contractor, the engineering company Kyiv Zhytlo-Invest, which reflects new construction costs as follows: <br>

- construction costs will equal US$ 454.8 million (including VAT); <br>
<br>
- total costs of the Project (including VAT, purchase of land, design, construction, fitting, administrative and marketing expense) will be US$ 512.2 million; and <br>
<br>
- to date, approximately US$ 110 million has already been paid. <br>
<br>
The construction will be completed in four phases, with the first phase to be completed in May 2012, in time for the EURO-2012 (250 rooms of the hotel section of the Project) and with the last phase to be completed in mid-2013. <br>

In addition, the engineering company Kyiv Zhytlo-Invest, together with KDD Group, has decided to replace the key construction contractor engaged with respect to the Project and, accordingly, has signed a letter of intent with a Turkish construction company, ANT YAPI, for completion of the majority of the outstanding construction works on the Project. ANT YAPI has already replaced the previous key contractor, the Ukrainian-French joint venture Osnova-Solsif, on the construction site. <br>

According to results of ENR (Engineering News Record) Magazine's 2009 research, ANT YAPI was ranked 70th amongst the top 225 international contractors. Established in 1991, ANT YAPI is active and has wide experience in all segments of construction, including hotels, residential, office, retail and entertainment and social infrastructure, with focus on the Turkish, Russian and Ukrainian markets. In Russia alone, ANT YAPI has completed 30 projects and currently has 15 projects ongoing, which include the Tower of Moscow (73 floors), the Tower of St. Petersburg (62 floors) and the Federation Towers (62 floors). <br>
