Please, if you think this offer is unacceptably low can I implore you to give him a quick call and, politely of course, let him know; that the offer is far to low, it has been poorly handled from the start(results forced out of them, etc), the Shore recommendation is a bit of an insult to holders and that they would do well to carefully consider their recommendation after the results come out(as they are duty bound to do on new news).<br>

<description><![CDATA[ Morning All<br>

I think that the directors here are basically trying to &quot;steal&quot; this company away from shareholders in a very quiet and deliberate way. The offer price is totally unacceptable. It should really start with a 3 whatever it is. Strong, above forecast, trading according to the company with loads of cash on the balance sheet. It really is an exceptionally poor offer. No independent exec, no trading update, no communication.<br>
<br>
So please can you inform your brokers that you want to vote against this offer as early as you possibly can if you have them in nominee holdings as, because it is a recommended offer, the default option will in most cases be to vote FOR this offer and most of us wouldn't want that.<br>
<br>
PLEASE can any genuine holders vote in this poll kindly set up by MrC from The Motley Fool to register your disappointment with this offer. Also please post this link on any other share type sites you know of. Thanks.<br>

<title>Shore Capital - Disgraceful</title>
<description><![CDATA[ So the Chairman unfortunately dies which means we have no independent directors to adjudicate the bid. So the onus is on the broker to make a recommendation.  On what basis have they made the recommendation.  With the cash on this balance sheet, they are basically recommending a bid at 4-5 X EBITA.  Why?  If there was a profits warning, they would be obliged to inform the markets.  Therefore there isn't any weak trading.  <br>
<br>
What is Shore Capital's liability for this recommendation?  Can we sue them?  Have they any incentive to consider this in a diligent way?<br>
<br>
What about the directors.  Have they any obligation?  Or is it necessary to contact the UKLA - they are the regulatory body in this instance.<br>

Scottish confectioner Lees Foods (LEE) has reported a six per cent increase in sales amidst a sturdy Scottish market.<br>

The AIM-quoted group reported sales of &pound;10.2 million (2010: &pound;9.6 million) with adjusted pre-tax profits falling from &pound;564,000 to &pound;505,000 for the six months to June. Net cash increased from &pound;500,000 to &pound;1.1 million.<br>
<br>
Lees' chief executive Clive Miquel enthused that the group had shown 'good growth over the period' noting that its Waverley Bakery had 'achieved new listings which would have resulted in this business being well ahead of last year' had it noted been for the 'very poor weather in May and June' which, in particular he blamed for affecting ice cream cone and wafer sales.<br>
<br>
The fall in profits was attributed to the increase in raw material costs with Miquel opining that there was a 'natural time lag' in the process of mitigating these increases. Looking forward he noted its 'biggest challenge' was the rising price of sugar.<br>
<br>
Analysts at house broker Shore Capital are forecasting pre-tax profits of &pound;1.03 million (EPS: 31.7p) for the year to December 2011.<br>
<br>
Recommended by Growth Company Investor last July in a feature on the picks of the food sector, at 144p the shares have increased 34.4 per cent since, currently trading at 193.5p. Having performed impressively over the last year the shares could come under pressure with rising commodity prices, and the strain on consumers growing. Hold.<br>

Scottish baker Lees Foods (LEE), the company behind the macaroon bar, has increased sales 6 per cent to &pound;10.22 million issued in the first half of 2011.<br>

In an upbeat trading statement, the AIM-quoted group insists demand for its range of products 'continues to be particularly strong', adding that its Lees of Scotland division, which makes a range of snacks including meringues, teacakes and 'snowballs' (a chocolate-coated coconut treat)  achieved 'record sales for the first half of the year.'<br>
<br>
The company also notes that commodity prices 'remain high' and stresses  it has been 'successful' in taking steps to mitigate the effects of these increases. This January, Lees warned that the rising price of coconut could effect its profits,  declaring that there had been a 'time lag' that  meant pre-tax profits for the first six months of the year would be lower than last year, though the company now says  it is still 'confident' of achieving full-year forecasts.<br>
<br>
Analysts at house broker Shore Capital are forecasting pre-tax profits of &pound;900,000 (for earnings of 27p a share) for the year to December 2011. For 2012 profits of &pound;1.03 million and earnings of 31.3p a share are pencilled in.<br>
<br>
Growth Company Investor recommended shares in Lees last July at 144p and they subsequently rose to 215p in January. at which point we advised taking profits,. They have since fallen to 184p. While sales are growing, rising commodity prices could well impact margins.<br>
<br>
We think the shares are fairly valued. Hold.<br>

Many of you attending will have heard of the franchised estate agency operator focused on Central London, the Home Counties and the South East. Winkworth&#146;s numbers held up well during the recession thanks to its low central cost base and the low capital cost of expanding its model. Earlier this month, the company released results for the year to December 2010, showing a 9.5% uptick in sales to &pound;3.7m and pre-tax profit up by 28% to &pound;1.1m. At the same time Winkworths announced the acquisition of a four-office franchise in Bournemouth for &pound;455,000, after having raised &pound;1.0m in a placing in March to take advantage of a number of identified acquisition opportunities. MACAROON maker Lees Foods savoured a more than 10 per cent boost to its share price after it revealed it had broken through the &pound;1 million profit barrier for the first time in its history.<br>
The Scottish confectioner, which also makes coconut snowballs and meringues at its Coatbridge factory, hailed an increase in sales - and price rises - which helped the firm rake in just over &pound;1m in pre-tax profits before exceptional charges in 2010. ADVERTISEMENT<br>

The &pound;79,416 exception charge covering the cost of issuing shares to employees gave the firm an actual pre-tax profit of &pound;949,968.<br>
<br>
Sales grew at both the firm's Lees factory and its waffle-cone making business, Waverley Bakery, with an overall increase from &pound;18.2m to &pound;18.7m<br>
<br>
The firm, which makes more than 50 million snowballs a year, said that during the year it had focused on developing its Lees brand with the successful launch of a new sweet, Lees Mallow Dreams, earlier this year.<br>
<br>
The small rise in sales in 2010 was due to widening the firm's customer base into the catering sector and Europe, despite the rising prices of its raw materials and packaging supplies.<br>
<br>
Chief executive Clive Miquel said: &quot;Whilst the outlook for commodity prices remains unsettled, we are confident that we have the measures in place to continue our development. The tough decisions that we have taken to mitigate cost increases have made us leaner and put us in a strong position to achieve our future growth ambitions.<br>

Baker Lees Foods, the company behind the Macaroon bar released a trading update in which it warns the increase in the price of coconut may impact its business.<br>
<br>
The Scottish concern said that sales for the year to December were &pound;18.7m, 2.5% ahead of 2009, while pre-tax profits are &#145;in line with current market expectations&#146;.<br>
<br>
However, despite the upbeat note, chief executive Clive Miquel warned that &#145;towards the end of the year we were hit by unprecedented commodity and packaging cost increases&#146; and noting that the price of coconut, used in such Lees products as the macaroon bar and the raspberry coconut-ice has &#145;more than doubled in recent months.&#146;<br>
<br>
Following the update, house broker Shore Capital drew attention to the increase in the price of coconut, which they said would lead to a &#145;time lag in costs recovery&#146; and downgraded profit forecasts for 2011 from &pound;1 million to &pound;800,000.<br>
<br>
Recommended by Growth Company Investor last July in a feature on the food sector at 149.5p, shares have put on 44% since, and are currently trading at 215p. Due to pressures from rising coconut prices we think that now may be an appropriate time to lock in profits.<br>

They purchased a bakery company last year and it is pretty obvious that admission to AIMS was to enable them to build a food group. Be interesting to see who they buy because a lot of Companies that are on the market are because of the tough trading conditions and may just have a few 'black holes'.
