Alpvot Vs Jaden Finch

As there are 2 interested parties vying for Landkom, i can't see why there is no real bidding war. It would appear that the Directors are doing all they can to push through the Alpcot offer which i appreciate is not as conditional as the Jaden Finch offer but nonetheless surely they shoukd be maximising the share price for existing shareholders?
Re: Wott a dilemma

I don't know what the price of the Tonon deal was but I do know that the cost of acquiring free title to good agricultural land in smaller parcels in Argentina has recently topped $20,000 per ha. This is in a country that in was suffering its own financial crisis and defaulting on debt just 10 years ago. Argentine agricultural rents in good locations can also be as high as 20 q per ha (you may wish to fall off your chair once you have calculated the $ equivalent of 20 quintal of soybean). But Argentina is different. Title to land is owned outright by individuals / corporations and there have never been any legal title issues that create uncertainties. Thus prices have mostly increased over the years and are currently very high.

However, this state of affairs is likely to change soon with the Argentine government proposing changes to land ownership laws - the imminent threat of limiting the foreign ownership of land. This is bound to create uncertainty and have a major negative impact on prices. So the current Argentine price levels are likely to be a bubble that will burst one day soon.

But it is useful to do the value calculation on Landkom's 78,000 ha just to help us back on our chairs (if the moratorium was lifted). Another reason why shareholders should vote against all bids?

If Landkom needs cash and the major shareholders are not willing or not able to invest, why isn’t it selling some land and downsizing to get itself into a stronger position and to buy itself some time? This is no time to be panic paralyzed.
Landkom International PLC (AIM: LKI, "Landkom" or "the Company"), the Ukrainian producer of agricultural commodities notes the announcement made by JadenFinch Limited on 29 December 2011.

The Board has reviewed the conditional proposal made by JadenFinch Ltd and has consulted with its professional advisers. The Board continues to believe that the recommended Alpcot Agro AB proposals are superior in terms of price, form of consideration and certainty of execution to the JadenFinch Ltd proposal which is also conditional on a positive outcome of legal, financial and commercial due diligence. The Board has responded directly to JadenFinch Ltd in this regard.

Wott a dilemma

So... share for share, or take the cash?

I would love to think that Alpcot was the better option. But I cannot imagine how Swedish management could possibly deal effectively with this situation we have here in Ukraine. Alpcot seems to have no comprehension of what the game is let alone which direction the goal is in. And certainly has no idea of how to make a profit. The $20m placing, of which only $5m will be available to the group, seems a paltry sum to turn things around.

What about JadenFinch? Well the cash seems a better option but what's the point? I guess it would just about pay for another couple of Vodkas in Kryivka.

But hey! Do you really need this miserable amount of cash so badly? If the alternative offers are a promise of nothing (Alpcot) or almost nothing (JF) then I see no reason to support either.

This is not the way forward for Landkom. The 'strategy' is most definitely flawed in favour of Amaco who are the only winners out of this deal. I have been on both sides of the fence re Vitaliy Skotsyk. But today he has a conflict of interest and that conflict is 'significant'. You may ask if the Board has an obligation to creditors when LKI is insolvent. Well yes it does, but it does not have the same obligation to Amaco where there has always been a conflict of interest. Therefore the first step in the Scheme of Arrangement should be to remove VS. The second should be to undertake a new strategic review and come up with the right answers.

The only way is up or down, but not a damp squib sell-out. So I put it to our major shareholders, that they should not support any kind of sell-out. Pump in a little more cash. Grind down Amaco. Use your lawyers to sue VS for breach of duty as a director. And think about it, if you accepted the Alpcot offer you are going to be constantly asked to invest more and more money in that company.

Menwhile, where could we end up? The LKI story has been one of the most entertaining aspects of our lives for the last 4 or 5 years. It has never failed to disappoint us and I am sure I am not the only one who has been rolling on the floor laughing all too often... It will be a sad, sad day to see Lankom depart this world.

Questions from a fool

Can someone help me...

Question 1

Is there is a simple answer to solving the crisis and reducing government debt in the Euro zone, and anywhere else for that matter?

But surely it is so simple I must be a fool...

Is it QE? i.e. Print money, pay off all debt. The money is already in the system so it is unlikely to cause deflation of a country's or zone's currency. No debt, no interest. Job done.

Question 2

Is it possible for LKI to increase yields, and pay off debt? The seed is in the ground so it is unlikely to cause share price reduction. No debt, no interest. Job done.

Wait a minute...

The value of LKI share price might increase if yields were higher and it paid off debt! Does it therefore hold that QE may also cause an increase in the value of a country's currency? No, that's impossible...

Let's check it out and take a look at QE in the UK and the value of £. Oh dear!

It looks like there is always a simple solution but sometimes no-one can see it, or am I such a fool...

Ukrainian Govt shooting their foot once again

The below can't bode well for Landkom.

First the Ukrainian Government officials said the below wondering why grain exports are substantially down, code words for why isn't there more money available for bribes.

Ukraine: Ministry of Agrarian Policy is concerned about the decline of grain exports – N.Prysiazhnyuk
The Ministry of Agrarian Policy and Food of Ukraine is concerned that to date grain exports from Ukraine became almost 2 times below the expected level, announced Nikolai Prysiazhnyuk, Minister of Agrarian Policy and Food, on September 28.

He added that the country had to export 6 mln tonnes of grains, according to the forecast, but only 3 mln tonnes were sold abroad.

The Minister said that in September 2011 grain exports from Ukraine totaled 1.1 mln tonnes only, and daily the export volume continues decreasing. As an example, he said that on September 27 the export volumes totaled 16 thsd tonnes.

As a reminder, in August Nikolai Azarov, Prime Minister, said that the export potential of grains in the current year totals 24 mln tonnes. According to N.Prysiazhnyuk, Minister of Agrarian Policy, the export volumes of grains in 2011/12 marketing year may reach the level of 23 mln tonnes.

© 2001-2011 APK-Inform Information Agency
The above information can be used only if agreed with the original source

Then they said this upon realizing that grain duties have priced Ukrainian grain out of the world market.
Ukraine to keep the duties on grain exports until the end of 2011
The Government of Ukraine will not initiate the premature cancellation of the customs duties on grain exports, the decision was taken by the Cabinet of Ministers on September 28, said a government source.

The export duties will be in effect until the end of 2011, said the source.

As a reminder, in 2011/12 MY grain export trading in Ukraine is regulated by the customs duties on grain exports, which are valid until January 1, 2012: wheat (9% but not less than 17 EUR/t), maize (12%, but not less 20 EUR/t), barley (14%, but not less 23 EUR/t).

The Ministry of Agrarian Policy previously initiated cancellation of the export duties, but the Government rejected the proposal.

Some experts argue that due to action of the customs duties, grain exports from Ukraine is realized rather slowly, and the country is losing positions on the market to competitors from other countries, primarily from Russia.

And then another group of MENSA candidates in the brain trust that is the Ukrainian Government whom are responsible for crippling the economic recovery in this particular "Workers Paradise" have decided that grain export duties have not quite cost the country enough. Another year or so of all of the duties then much of the population will be begging the Russians to return and make it all better. I know that's an extreme view but it may be more realistic than any of us would like, except for Putin's advisors on his "near abroad" and Yanukovych's close advisors and handlers.
Ukraine: Ministry of Economic Development proposes to impose the export duties on oilseeds and sunflower oil, and extend the grain duties
The Ministry of Economic Development of Ukraine proposes to impose the customs duties on oilseeds exports from the territory of the country until 2013, stated the draft law "On rates of export duties on certain types of agricultural products", which was published on the official website of the Ministry on September 29.

In particular, the draft law proposes to impose the following rates of export duties until January 1, 2013: crushed or uncrushed soybeans at the level of 12% but not less than 33 EUR/t; crushed or uncrushed rapeseed or colza seeds - 9% but not less than 15 EUR/t; sunflower oil - 10% but not less than 84 EUR/t.
