I just don't see the logic of having to take out loans to pay Sagi early, and only securing a 5% discount. Surely they must be paying some interest on the loans - 3 or 4%? still not sure why the sp fell so much - if this aquisition was made a while ago but the payment for it has been bought forward (and a discount included) why the drop? Is it solely because the city doesn't like Sagi owning the company he is also selling to? Or is it because the payment is being made via a loan rather than any cash reserves?

Unfortunately I lost quite a bit today on this - would have been worse but my stop-losses!

Its the reason why Playtech trades at such low valuations even though its a good growth stock with potential. Without the Teddy Sagi cloud, it could easily be at forward P/Es of 15-20.
