RNS Number : 1389U Creat Resources Holdings Ltd 16 December 2011 Creat Resources Holdings Limited ("CRHL" or "the Company") SECURED LOAN AGREEMENT WITH CREAT GROUP Creat Resources Holdings Limited (the "Company") (AIM: CHRL) is pleased to announce that it has entered into a further loan agreement (the ''Loan'') with Creat Group Company Limited (''Creat Group'') for the amount of A$1,000,000, with a first installment drawdown of $300,000 on or before 30 December 2011 to assist with the working capital requirements of the Company and to progress its exploration programme. The Loan, which is secured by fixed and floating charges over certain of the Company's assets, carries an interest rate of 9%, is repayable within twelve months of drawdown or as otherwise agreed by Creat Group and the Company. As a major shareholder, Creat Group has indicated to the Company that it is committed to supporting the Company to progress planned exploration plans. In accordance with Rule 13 of the AIM Rules, the Loan is a related party transaction, and the independent directors, having consulted with the Company's Nominated Adviser, consider that the terms of the Loan are fair and reasonable insofar as the Company's shareholders are concerned. Further to the announcement on 3 November 2011 in relation to the put option exercised by Time Wise Limited ("TWL") over 222,222,222 convertible loan notes (face value of £10m) issued to TWL in April 2010 (the "Time Wise Notes"), the Company has received confirmation from Creat Group that the paperwork has now been processed and that it has therefore completed the acquisition of the Time Wise Notes for a consideration of 6 pence per Time Wise Note.
Following the acquisition of the Time Wise Notes, the changes to the interests of Creat Group and two directors of the Company are set out below:
(1) representing an outstanding convertible loan of £2,495,866 which is convertible into ordinary shares at a conversion price of 15 pence per share and a convertible loan of £4,500,000 convertible into ordinary shares at a conversion price of 4.5 pence per share. Therefore, these outstanding convertible loans are convertible into a total of 116,639,107 new ordinary shares in CRH (2) beneficial interest in convertible notes held directly and indirectly through Creat Group's nominees, Marvel Link Group and Kingwealth Limited. As described above, the total outstanding convertible loans are convertible into a total of 116,639,107 new ordinary shares in CRH (3) indirect beneficial interest held through Creat Group (4) representing the outstanding convertible loans, referred to in note 1, of £6,995,866 and the Time Wise Notes where each Time Wise Note is convertible into one ordinary share. Therefore, these outstanding convertible loans are convertible into a total of 338,861,329 ordinary shares in CRH

Creat Resources Holdings Limited ("CRHL") (AIM: CRHL) announces that ASX-listed Galaxy Resources Limited ("Galaxy"), in which CRHL has an 11.78% shareholding, has achieved mechanical completion at its wholly-owned Lithium Carbonate Project in Jiangsu, China, a month ahead of its revised schedule and in line with budget estimates.
Galaxy announced that it has "received Construction Completion Certificates with associated exceptions and punch lists for all areas of the plant", it added that "the large construction workforce is in the process of being de-mobilised, with only a skeleton crew to remain on site to complete the exceptions and final punch list items."
Galaxy also announced that "it has now commenced cold commissioning, which would take approximately two months. Once it is completed, hot commissioning of the plant and equipment will commence, followed by the introduction of process materials and the start-up phase."
Galaxy is now processing applications for final production approvals and licenses with relevant government departments, targeting first production for the first quarter of 2012.
CRHL Chief Operations Officer, Rex Chow said: "we offer our congratulations to Galaxy on moving to cold commissioning stage and taking the Jiangsu plant another step closer to full production. This provides further confidence in the excellent Galaxy team and further reassurance for CRHL shareholders that our policy of planned investment in companies like Galaxy is a sound one. C6 - in the climate, its not been worth it to push through with that part of the programme ( i.e. JORC etc ). They instead set about developing more of the project area, thus enlarging it. I haven't posted much as there been generally not much to say. All the previous research and analysis around exploration still stands, but in the climate and with expansion of works, not much that can be added until further info is released...

Its been boring (and painful) holding CRHL for the past few months but February has finally arrived.
Galaxy is holding relatively level (worth about 3.5p per CRHL share) but more importantly, a drilling update from Tasmania is likely to arrive any day. Anyone who has been in contact with CRHL since the Chinese New Year will undoubtedly have been told, the drilling programme is progressing on schedule and that an update will be provided soon. Management recognise that the SP is undervalued and are looking to address this. We will soon be rewarded for our patience; it would be foolish to sell at this point in time. Good luck all. |

Have no worries about Galaxy DS, they seem to know exactly where they are going.
However. When I joined this exalted b/b a year ago (and I am not being rude to any posters) a JORC was imminent. Any particular reason why it has not appeared? Or were the findings too paltry? Another thing that has me nonplussed. Is, whatever happened to the deposits that Zeehan were after and presumably were producing. Zinc is in big demand at the moment. Where do we stand, on that particular issue? A new drilling programme begins this month (targetting what)? Let us hope it bodes well. GLA. |
