Dividend Declaration

The Company today announces a monthly dividend payment in respect of the financial year ending 31 December 2009 of 0.5 pence per share as detailed in the schedule below:

Ex-Dividend Date - 08 July 2009
Record Date - 10 July 2009
Pay Date - 31 July 2009

The Company will pay the dividend to all shareholders on its shareholder register on the Record Date.

New FCPT Limited, which has made a share for share exchange offer for all the issued share capital of the Company, will pay an equivalent dividend of 0.5 pence per share to all shareholders on its shareholder register on the same Record Date of 10 July 2009 (with the same Pay Date of 31 July 2009). Therefore shareholders in the Company and in New FCPT Limited will receive a dividend of the same amount per share, paid on the same basis, and the aggregate dividend received by shareholders will not be affected by whether they hold shares in the Company or New FCPT Limited on the Record Date. Offer Update

On 5 June 2009, the board of directors of F&C Commercial Property Trust Limited ("FCPT") announced proposals (the "Proposals") to establish New FCPT Limited ("New FCPT") as the new holding company of FCPT, to be implemented by way of a recommended share for share exchange offer (the "Offer"). A document setting out the background to and the full terms of the Offer (the "Offer Document") was published on 5 June 2009 and posted to FCPT Shareholders shortly thereafter together with a prospectus relating to New FCPT (the "Prospectus"). The Offer is conditional upon, inter alia, valid acceptances of the Offer being received (and not, where permitted, withdrawn) in respect of not less than 90 per cent. of the issued FCPT Shares.

Announcement of acceptance level

The board of directors of New FCPT announces that as at 1.00 p.m. (London time) on 26 June 2009 (being the first closing date of the Offer), valid acceptances of the Offer had been received in respect of a total of 610,065,433 FCPT Shares, representing approximately 89.64 per cent. of the existing issued share capital of FCPT (excluding treasury shares). The board is pleased that acceptances have been received so quickly in respect of such a significant percentage of the FCPT Shares and is therefore confident that the 90 per cent. acceptance threshold will shortly be reached and the Offer will then become unconditional.

Save as disclosed above, as at 1.00 p.m. (London time) on 26 June 2009, New FCPT did not have any other interest in any relevant securities of FCPT.

Extension of the Offer

The Offer, which remains subject to the terms and conditions set out in the Offer Document is being extended and will remain open for acceptance until 1.00 p.m. (London time) on 3 July 2009. Any further extension of the Offer will be publicly announced by 5.00 p.m. (London time) on the business day following the day on which the Offer is otherwise due to expire.

FCPT Shareholders who have not yet accepted the Offer are urged to do so as soon as possible.

For FCPT Shares held in certificated form, to accept the Offer, Forms of Acceptance should be completed, signed and returned in accordance with the instructions set out in paragraphs 10(a) and 10(b) of the letter from New FCPT in Part II of the Offer Document and on the Form of Acceptance, so as to be received as soon as possible.

For FCPT Shares held in uncertificated form (that is, held in CREST) an Electronic Acceptance should be made in accordance with the instructions set out in paragraphs 10(c) to 10(e) of the letter from New FCPT in Part II of the Offer Document as soon as possible.

Suspension and cancellation of listing and trading

Further to the prospectus and offer document published by New FCPT Limited ("New FCPT") on 5 June 2009 in relation to the recommended offer by New FCPT for all the issued share capital of F&C Commercial Property Trust Limited ("FCPT"), New FCPT and FCPT remind shareholders that the first closing date for acceptance of the offer is 1.00 pm (London time) on Friday 26 June 2009.

As set out in the prospectus and offer document, upon New FCPT receiving acceptances in respect of 90 per cent. or more of the issued share capital of FCPT and the offer becoming unconditional, FCPT will apply for the suspension and then the cancellation of the listings of its ordinary shares and trading in those shares on the London Stock Exchange and Channel Islands Stock Exchange. The suspension is expected to become effective two business days after the offer becomes unconditional and at the same time as the first share for share exchange occurs and the new ordinary shares in New FCPT are issued and admitted to listing on the Official List of the UKLA and to trading on the main market of the London Stock Exchange. The cancellation of the listings and trading of shares in FCPT is expected to take place twenty business days thereafter.

Therefore, as set out in the prospectus and offer document, shareholders should be aware that, if they do not wish to run the risk of holding an unlisted investment in FCPT, they should either accept the offer in accordance with the procedure set out in the offer document, or transfer their shares, prior to 1.00 pm (London time) on Friday 26 June 2009.
