TRANSFER OF TREASURY SHARES
In accordance with the provisions of Listing Rule 12.6.4, the Company hereby
notifies you that on 2 May 2012 it transferred 226,189 Ordinary shares held in
Treasury to six participants (non-PDMR) to satisfy the maturity exercise of
options at 69p per share under the Hays plc International Sharesave Scheme.
Following this transfer, Hays plc holds 74,639,415 Ordinary shares in Treasury.
The number of shares in issue is 1,389,457,151 (excluding treasury shares).
