What are Share Offer IPOs?

The Initial Public Offering (IPO) of shares is when the stock of a company is sold to the public on a recognised exchange such as the London Stock Exchange (LSE) for the very first time. By undergoing this process a private company will become a public company. A private company will normally go public to raise funds for further expansion or to allow Pre-IPO investors the opportunity to monetise their investment.

Once available on exchange the company’s shares are freely traded and the value of each share can rise and fall in relation to the prevailing market forces.

There are many advantages to a company going public but the cost in doing so is relatively high and there are many further responsibilities enforced on the company by the exchange and the regulator primarily to protect investors.   In order to go public the company will normally seek the assistance of an investment bank to underwrite the offer and the lengthy document known as the Prospectus will be produced providing investors with every detail the company’s performance, reasons for IPO and the offer itself. The investment bank will appoint ‘distributors’ such as Interactive Investor and gauge public demand for the offer  which in turn will allow them to set a suitable price range and programme of events leading up to the listing on exchange.

Why invest in Share Offer IPOs?

You’re getting in at the ground floor and in the longer term IPOs have tended to stay above their issue price. However, getting in at this early stage is generally down to your attitude to risk. They can be a volatile animal and furthermore the abundance of IPOs comes and goes in cycles. A strong equity market will generally lend itself to a surge in new IPOs due to perceived demand.  It is always worthwhile gaining an understanding of what sectors are currently in favour and do your own analysis or seek independent professional advice before investing in IPOs

Many new issues attract sizeable interest from private investors who may be looking to take advantage of demand on the primary market, before the security is bought on the secondary market, with the hope that the value of the investment will rise. However, investors must be aware that investing in new issues is not without risk and the value of your investment may fall significantly after the security is quoted on the open market.

How do share IPOs (Initial Public Offerings) work?

Depending on the size of the offer, the risks associated with investing in IPOs can widely differ.

Some IPOs are very large and aim to list on the FTSE 100 or 250 Index. They will issue a full prospectus and are open to all retail clients.

There are also much smaller IPOs which list on the AIM (Alternative Investment Market) and carry a much higher risk. These smaller IPOs may not issue a full Prospectus and will only be open to highly experienced investors.

How do share offer IPOs work?

IPOs will all follow a similar process, as set out below using the example of a large cap IPO:

  1. Intention to float - A private company informs the stock market that they wish to float the company through an IPO. They communicate this by way of an ‘Intention to Float’ document. It is at this point that Interactive Investor clients can register their interest and be kept informed about the upcoming launch schedule, as and when it is announced.
  2. Prospectus - The company will then prepare and release a Prospectus. This document will describe the launch and the offer in detail. Clients are advised to read and digest the Prospectus and any supplementary documentation the company may produce.
  3. Sale of shares - Applications for the shares begin. Our dealers start taking client orders for the IPO as, at this point, the offer is open for a fixed time, referred to as the Offer Period.
  4. Offer Period closes – When the offer period ends, our books will close to any further orders. Clients will be informed about their allocations. Please be aware that you may not receive your full allocation as quite often new issues are oversubscribed and the offer scaled back. For further information please read our allocation policy
  5. Shares admitted to the stock market - The shares can be bought or sold during normal market hours on the stock market. Once shares are placed on the stock market (or secondary market) the price of the shares are freely traded and the price can rise as well as fall.

How to apply - existing customers

If you already have an investment account, you can apply for the offer by following the steps below:

1.    Login to your account
2.    Select Account Admin
3.    In the Miscellaneous section, click on 'IPO'
4.    Confirm which IPO you wish to invest in
5.    Choose which account you wish to buy shares in - your trading, ISA or SIPP account
6.    Choose how much you want to invest (minimum £1,000)
7.    Press Submit

If the offer is oversubscribed, each investor's allocation may be scaled back.

How to apply - new customers

If you don't have an investment account with us, you will need to open one to take part in an IPO (even if you have registered with iii.co.uk).
