Last year, AIM listed media and marketing specialist Ebiquity (LON:EBQ) pulled off an acquisition in Germany that not only doubled its revenues but also transformed the services that it was able to offer advertisers, ad agencies and media owners. For chief executive Michael Greenlees &#150; a renowned advertising industry figure who cancelled early retirement to join Ebiquity in 2007 &#150; the company&#146;s recent rapid growth is just the start.<br>

Greenlees took the helm at Ebiquity &#150; then known as Thomson Intermedia &#150; after a career that saw him set-up, float and later sell his own agency, Gold Greenlees Trott, to American giant Omnicom. He went on to lead that group&#146;s TBWA Worldwide division before joining Omnicom&#146;s executive board in 2001. Since joining Ebiquity, Greenlees has taken the group&#146;s core expertise in advising corporates on the effectiveness of their marketing spend and constructed an international operation that offers a range of data-driven services all related to understanding media and marketing. <br>
<br>
A major part of what Ebiquity does involves advising clients on how much &#145;bang for their buck&#146; they get from advertising, how they are perceived by consumers and, importantly, how to improve. It boasts 1,000 clients in 60 international markets, including 85 of the top 100 global advertisers and all the major advertising agency groups. Its business is broadly divided between Platform and Analytics. The Analytics division consists of Ebiquity&#146;s Media, Effectiveness and Digital practices and the Platform division consists of its Advertising Intelligence, Reputation &amp; PR and Media Technology practices.<br>
<br>
While the economic downturn caused a lot of pain for Ebiquity&#146;s clients, the company&#146;s core divisions, including Billets, the media audit and consultancy services arm, and Thomson Media Control, performed admirably. However, it was the &pound;17.9 million acquisition of Germany&#146;s Xtreme Information Services in March 2010 that really quickened the pace at Ebiquity last year. That deal caused the balance of revenues to swing to 71% in favour of international business, up from 38% the previous year. It also evened out the revenues between the two divisions. Xtreme&#146;s integration into Platform caused the revenue contribution to increase from 28% to 59% from that division. Overall, revenues in 2010 jumped by 108% to &pound;44.1 million, underlying operating profits doubled to &pound;5.3 million and underlying pre-tax profits rose by 90% to &pound;4.8 million. In the 16 months since the acquisition, shares in Ebiquity have risen from 56p to 93p.<br>

In the mean time, Greenlees has been keen to infill the portfolio with a handful of smaller acquisitions, among them Excellence Media in France, Media Advisor in Italy, London-based Echo Research (a specialist in scrutinising social media) and a majority stake in The Joined Up Media Company in Russia. He insists that the growth strategy is on course and there will be more deals to come.<br>

Michael, you doubled revenues at Ebiquity last year and acquired a business that really expanded your international presence. How challenging has it been for you to keep control of that sort of major change?<br>
<br>
Well, I&#146;ve got a pretty good management team here. One of the things that I think perhaps distinguishes us from other companies of our size is the strength of our management team. We&#146;ve got a fantastic financial team led by Andy Beach, we&#146;ve got a really strong customer facing operation led by Nick Manning, we&#146;ve got a great Head of Operations in Paul Adams, and great technical staff. Everybody has stepped up to the plate, learnt new skills and really delivered this year.<br>
<br>
Was expansion on this scale always something that you planned to do, because acquisitions on this scale can cause problems, can&#146;t they?<br>

Normalised and diluted EPS of 6.0p came in ahead of our 5.4p estimate, primarily due to &pound;1.2m higher revenues and a higher than-anticipated operating margin at 12%. Ebiquity eyes social media<br>

Facebook and Twitter boast millions of users &#150; and millions of opportunities for companies to plug their products and gauge market trends. No surprise then, that market research firms have been rushing to burnish their social media credentials.<br>
<br>
It is the same rationale that drove Ebiquity, the Alternative Investment Market-listed media insight and analytics business, to shell out up to &pound;10m to buy Echo Research earlier this month.<br>
<br>
The deal will allow Ebiquity to offer its clients data and advice on social media. The target is well established in the digital world, with analysts at Edison Investment Research highlighting its roster of blue-chip clients, including Shell, HSBC and Pfizer.<br>
<br>
Moreover, it's no upstart. The business has been around for more than two decades, and won numerous awards for its digital nous. Digging deeper into the numbers, Edison analysts reckon that the deal is likely to prove earnings accretive in the first full year of the acquisition.<br>

&quot;During the year to 31 March 2011, Echo achieved turnover of &pound;5m and normalised operating profits of &pound;500,000,&quot; they said, pointing out that, as with past deals, Ebiquity has identified synergies between its own business and its buy. &quot;This, together with cross-selling opportunities for Ebiquity's existing clients should enable Echo to be earnings accretive in the first year of ownership and beyond.&quot;<br>

AIM quoted media analytics business Ebiquity (LON:EBQ) is set to pay up to &pound;10.0m to buy Echo Research, an international reputation analysis, media measurement and stakeholder research specialist with offices in London, New York, Paris and Singapore. The deal is being funded with a combination of new debt facilities and the proceeds of a share placing priced at 90p per share that raised &pound;2.6 million. Separately, Ebiquity reported that trading in the second half of the financial year ended 30 April 2011 had continued to be strong, with a particularly good performance in the US, and that it would be &#147;comfortably in line&#148; with market expectations for the financial year. Shares in Ebiquity rose by 1.5p to 93.5p.<br>

Echo&#146;s business focuses on brand reputation and stakeholder insights, as well as analysis of non-paid media, including social media. Sandra Macleod, the company&#146;s founder, will remain as chief executive of the Echo business, which counts over 60 global blue chip companies among its clients. Ebiquity said the deal would mean it could offer its existing clients industry leading analysis and advice that will compliment its current analytics and insight offerings and deliver a comprehensive, global and in depth understanding of the evolving media landscape. &#147;Non-paid, &#147;earned&#148; and, in particular, social media, are playing an increasingly vital role in how brands, businesses and management teams are perceived. The lines between paid and non-paid media are also rapidly blurring as brand owners exploit digital channels in ever more inventive ways to influence consumer perceptions, often in support of more traditional paid media activity.<br>

Ebiquity is buying Echo&#146;s holding company TCRG Holdings Ltd for an initial consideration of &pound;3.5 million with a maximum aggregate consideration of up to &pound;10.0 million, conditional on the business achieving certain demanding growth targets over the next two years. It said the acquisition would be materially earnings enhancing in the first full financial year following completion and the realisation of identified synergies. Echo&#146;s turnover for the year ended 31 March 2011 was &pound;5.0m and it generated an operating profit before highlighted items of &pound;0.5m.<br>

 Today (May 20), Ebiquity announced the acquisition of Echo Research (Echo) for an initial &pound;3.5m (now) and deferred &pound;0.3m (payable May 2012) cash consideration, plus a maximum earn out of &pound;6.2m over the next two years. Echo focuses on the analysis of brand reputation and stakeholder insights, as well non-paid media. To fund this deal and other future acquisitions, Ebiquity has placed 2.85m shares at 90p with existing shareholders and has increased its term bank facility for acquisitions by &pound;5.0m. With Echo expected to be earnings accretive in the short-term, we have increased our normalised FY12 pre-tax profit to &pound;6.5m (up from &pound;5.6m) and EPS estimate to 6.8p (up from 6.4p).<br>
